CHICAGO, November 21, 2024 —  Vyaire Medical has completed the sales of its Ventilation and Respiratory Diagnostics Business Units to ZOLL Medical Corporation and Trudell Medical Limited, respectively. Additionally, Vyaire received approval of its Chapter 11 wind down plan by the Bankruptcy Court.

“Vyaire has delivered on our commitment to sell our business units to buyers who can support the growth and development of the product portfolios while minimizing disruption to employees, customers, and patients,” said John Bibb, Group Chief Executive Officer, Vyaire Medical. “Our team has worked tirelessly to preserve our 70-year history of pioneering breathing technology and we will continue to work closely with ZOLL and Trudell Medical towards a smooth transition in the months to come.”

Vyaire filed for Chapter 11 protection in June 2024 and obtained debtor-in-possession financing to continue business operations while marketing its business units to a variety of interested parties, including capable industry participants. At the time of the filing, Vyaire’s management team committed to execute going concern sales of the business units and avoid any Bankruptcy liquidation process that would threaten to disrupt the supply of critical Vyaire medical devices to vulnerable populations.

“With the protection of the Chapter 11 process, we obtained the financing needed to continue operations and maintain service to customers and patients while preserving a majority of our workforce,” Bibb added. “We are pleased with the outcome of this sale process, which secured product and service continuity for customers and patients around the world. The sales also provide exceptional opportunities for more than 750 Vyaire employees who transferred with the businesses.”

The Bankruptcy Court approved Vyaire’s Chapter 11 wind down plan on November 14, 2024. The remaining Vyaire Medical estate will now be wound down globally as Vyaire Medical, Inc. and several of its affiliates complete the Chapter 11 bankruptcy process.
