CHICAGO, October 14, 2024 —

Vyaire Medical today announced that it has completed the sale of the Vyaire Ventilation Business Unit to ZOLL Medical Corporation, a global leader in acute critical care and related software and diagnostic tools. Certain Ventilation assets were not included in the sale to ZOLL.

"We are pleased to deliver on our commitment to sell our Ventilation Business Unit to a well-capitalized buyer who can support the growth and development of the Vyaire Ventilation product portfolio,” said John Bibb, Group Chief Executive Officer, Vyaire. “Vyaire will continue to work closely with ZOLL to ensure a smooth transition for our team members, customers, and partners".

Under the terms of the agreement, ZOLL acquired the bellavista™, fabian™, LTV™, and 3100 HFOV product lines, along with associated consumables, service parts, accessories, and service program offerings. ZOLL also acquired Vyaire’s existing inventory of AVEA™, ReVel™, SiPAP, and VELA™ ventilators and (“legacy products”) but did not acquire the associated product lines.

The sale to ZOLL does not include Vyaire MicroBlenders or the iX5™ ventilator product line and associated operations, which are being marketed to other interested bidders. Vyaire continues to fully manage its RDx business and products, with full support to customers. The company anticipates closing the sale of its RDx Business Unit to Trudell Medical Limited in the coming weeks.

As of October 14, 2024, all adverse incidents, product complaints, or quality problems experienced with the use of the legacy products must be reported directly to the FDA’s MedWatch Adverse Event Reporting program either online or by phone at 1-888-463-6332.
